Provided legal advice to the management on banking, e-money (EMI), made application to payment institution (PI) licenses, crypto licences to FCA in the UK and other licenses in different jurisdictions as well as legal risks in business projects. Draft, negotiate, and conclude wide-ranging legal agreements that are available below. Legal agreements: EMI wallet agreements, referral agreements, outsourcing services agreements, merchant services agreements, service levels agreements (SLAs), service membership agreements, agency agreements, software and license agreements (PaaS, CaaS, SaaS), non-disclosure agreements (NDAs), loan agreements, share sale and purchase agreements and shareholders agreements (SPAs and SHAs).

• Successfully ensured that a new promotion, which was against English Law, was created a new promotion that complies with the English Law by noticing its key point and warning the sales team thanks to my knowledge gained from MA Law.

• Providing legal advice on matters relating to intellectual property rights, data protection, general commercial and contract law matters.

• Working closely with the AML, Compliance, Business, Finance, Sales and Marketing teams on a variety of tasks and initiatives as necessary.

Bener Law Office is a leading law firm in Turkey which is ranked in Legal 500 and IFLR1000 many times and whose clients include Bosch, IBM, IWG, Hitachi. Provided contract law, commercial law, and administrative law assistance and consulting to international corporate clients on a variety of legal challenges, interacting directly with the partners and the clients' C-suite executives. Drafted corporate documents for a board of directors' resolutions and general assemblies. Created due diligence reports and shared purchase agreements (SPA) for M&A transactions of numerous national and international companies. Prepared memorandums regarding the amendments made to law regulations. Reviewed shopping mall leasing agreements and prepared detailed legal due diligence reports and notification letters. Established joint stock, limited liability companies and branches.

• Successfully managed the registration applications of a major client (Regus – a UK based workspace provider company). Regus established 35 companies across Turkey, registration of each was a very complex exercise requiring experience and coordination with the Trade Registry and Regus board members in Europe.

• Led a one-time project for a temporary client, who was very satisfied with delivery and decided to work with Bener for other projects and became a permanent client.

Produced legal documents regarding company establishment, liquidation. Prepared and managed corporate filings. Conducted legal research and provided legal opinions on various issues. Analysed and drafted agreements and legal paperwork. Translated legal documents into Turkish ⇄ English.
